Affiliate Program Terms

Agreement to these terms

These Affiliate Program Terms (“Affiliate Terms”) are a binding agreement between you (the “Affiliate”, “you”) and SIA Karto (“Jepex”, “we”, “us”), the company behind Jepex. They govern your participation in the Jepex affiliate program (the “Program”). You accept them when you apply to join the Program through our affiliate portal, and in any case when you first share an Affiliate Link.

You enter these Affiliate Terms as a business — a self-employed professional or a company acting in the course of its trade — and not as a consumer. They apply alongside our Terms of Service, which continue to govern your own use of Jepex, and our Privacy Policy. If you do not agree, do not join the Program.

Definitions

• Program — the Jepex affiliate (referral) program described in these Affiliate Terms.
• Service — the Jepex website (jepex.app) and the Jepex applications, as defined in our Terms of Service.
• Affiliate Platform — the third-party affiliate tracking service we use to operate the Program, currently Rewardful (rewardful.com).
• Affiliate Link — the unique referral URL the Affiliate Platform issues to you for promoting Jepex.
• Promotion Code — a discount or promotion code we may, at our discretion, assign to you for referral tracking. We do not currently issue Promotion Codes; provisions about them apply only if and when we assign one to you in writing.
• Cookie Window — the 60-day period during which the referral cookie set by your Affiliate Link remains valid.
• Referral — a person who reaches the Service through your Affiliate Link (or by redeeming your Promotion Code at checkout) and whom the Affiliate Platform attributes to you.
• Qualifying Sale — a subscription payment that meets the conditions in “Commissions & qualifying sales”.
• Commission — the amount you earn on a Qualifying Sale under these Affiliate Terms.

Joining the program

You can apply to join the Program through our affiliate portal (hosted by the Affiliate Platform). To join and remain in the Program you must:

• be at least 18 years old and able to form a binding contract;
• act as a business: you confirm that you participate as a self-employed professional or through a company, in the course of your trade or profession, and that you will declare your Commission income accordingly;
• provide accurate information when applying (including your legal name, country, and payout details) and keep it up to date;
• not be a competitor of Jepex, and not use the Program to build or promote a competing product;
• warrant — on an ongoing basis, for as long as you participate — that neither you nor, if you are a company, your beneficial owners appear on the EU Consolidated Financial Sanctions List or any other sanctions list applicable to us or to our payout providers, and that you are not located in a country or territory subject to comprehensive sanctions; you will tell us promptly if any of this changes.

We accept applications at our sole discretion and may decline or revoke acceptance without giving reasons. One Program account per affiliate; duplicate accounts may be merged or closed.

Our relationship

We grant you a limited, non-exclusive, revocable right to participate in the Program and to promote Jepex using your Affiliate Link in accordance with these Affiliate Terms.

You are an independent contractor. Nothing in these Affiliate Terms creates an employment, agency, partnership, joint-venture, or franchise relationship between you and SIA Karto. You have no authority to bind us, accept terms on our behalf, vary our prices, or make commitments or representations in our name, and you may not present yourself as our employee or official representative.

If you involve others in your promotion — employees, contractors, or an agency — you remain fully responsible for their acts and omissions as if they were your own, and you may not authorise anyone to promote Jepex who is not bound by these Affiliate Terms.

Commissions are consideration for customer-referral (performance-marketing) services. They are not royalties, licence fees, or payment for content or intellectual property.

Referred customers are Jepex customers: their contract, billing, and support relationship is with us, and their personal data is processed under our Privacy Policy. You promote Jepex through your Affiliate Link only — you never receive referred customers’ personal data through the Program (your affiliate dashboard shows referral and Commission statistics) — and you acquire no rights in our customers or customer relationships.

The Program is non-exclusive in both directions: you may promote other products, and we may run other marketing and work with other affiliates.

Commissions & qualifying sales

For each Qualifying Sale attributed to you, you earn 25% of the amount the referred customer actually pays us for their Jepex subscription — net of discounts and credits, and exclusive of VAT and other taxes, refunds, and chargebacks. Commission is calculated on the discounted amount actually charged, not the list price.

Commission is recurring for 12 months: it applies to each subscription payment charged during the 12 months following the referred customer’s first paid subscription payment. Payments charged after that 12-month window earn no further Commission, even if the subscription remains active.

A subscription payment is a Qualifying Sale only if:

• the customer is a new paying customer — the referred subscription is their first paid Jepex subscription; renewals or upgrades by people who were already paying customers do not qualify;
• the purchase is attributed to you by the Affiliate Platform as described in “Attribution & the cookie window”;
• the customer is not you, anyone acting on your behalf, or an account you control (no self-referrals);
• the payment is actually charged and is not subsequently refunded, reversed, or charged back (see “Holding period, refunds & clawbacks”); and
• the sale was not obtained through any method prohibited by these Affiliate Terms.

All Commission amounts are denominated in euros (EUR).

Attribution & the cookie window

When someone clicks your Affiliate Link, the Affiliate Platform sets a first-party referral cookie in their browser that remains valid for the 60-day Cookie Window. A purchase is attributed to you if the customer starts their paid subscription while that cookie is valid.

Attribution is first-touch: a referral belongs to the affiliate whose link the customer clicked first, and later clicks on other affiliates’ links during the Cookie Window do not reassign it.

If we have assigned you a Promotion Code, a customer who redeems it at checkout is attributed to you at that point, even without a referral cookie.

Tracking depends on a working cookie: browser settings, private-browsing modes, blocking extensions, and a visitor’s choice to decline cookie consent on our site can all prevent attribution, and we are not responsible for sales that cannot be attributed for such reasons. Purchases made through channels the Affiliate Platform cannot track — for example in-app purchases in mobile app stores — do not generate Commissions. The Affiliate Platform’s records are conclusive for attribution and Commission calculation, absent manifest error.

Holding period, refunds & clawbacks

New Commissions start as pending. A pending Commission becomes due once a holding period of 30 days from the underlying charge has passed without a refund, reversal, or chargeback. The holding period exists to cover our refund handling for the underlying sale.

If a charge is later refunded (wholly or partly), reversed, disputed, charged back, or found to be fraudulent or obtained in breach of these Affiliate Terms, the related Commission is recalculated or cancelled: a full refund cancels it, and a partial refund reduces it proportionally. If we have already paid out a Commission that is later cancelled or reduced, we may deduct the difference from any amounts we owe you or require repayment within 30 days of our notice.

If we reasonably suspect that a Commission, a Referral, or your promotional activity involves fraud, attribution manipulation, or another breach of these Affiliate Terms, we may suspend the affected Commissions and withhold the related payouts while we investigate. We investigate promptly and in good faith: Commissions the investigation clears return to the normal payout schedule, and Commissions it confirms as fraudulent or obtained in breach are cancelled.

Payouts

Due Commissions are paid monthly, in euros (EUR), once your due balance reaches the minimum payout threshold of €25. A balance below the threshold rolls over to the following month. Payouts are made through the payout providers supported by the Affiliate Platform, currently PayPal, a third-party processor.

You must keep valid payout details in the affiliate portal. You bear any processor fees, currency-conversion costs, and charges applied by your own bank or payment provider. We are not liable for delays or failures caused by a payout processor or by inaccurate details you provide; a balance we cannot pay out for those reasons remains on your account until the problem is corrected.

Taxes & invoicing

You are solely responsible for all taxes, levies, and social-security contributions that apply to your Commissions in your jurisdiction, and for declaring this income. Commission amounts are exclusive of VAT.

Payouts are documented through the Affiliate Platform’s reporting, a consolidated invoicing arrangement, or a self-billing arrangement we agree with you. You agree to provide the information this requires — your legal name, address, and, where applicable, VAT or business registration number — and to keep it accurate. Where the law requires us to withhold amounts from a payout, we may do so.

Prohibited promotional methods

You agree that you will not, directly or indirectly:

• Spam or unsolicited messaging. Send unsolicited bulk or commercial email, SMS, or direct messages to promote Jepex, or otherwise promote in any way that violates the US CAN-SPAM Act, the EU ePrivacy and GDPR rules on direct marketing, or any other applicable anti-spam or data-protection law.
• Trademark and brand bidding. Bid on, purchase, or use in any paid-search, paid-social, or PPC campaign (including Google, Microsoft/Bing, and Meta ads) any keyword, ad copy, or display URL consisting of or confusingly similar to “Jepex”, “SIA Karto”, our other trademarks, common misspellings of them, or those terms with modifiers (for example “jepex coupon”), or direct-link such ads to our website or checkout.
• Attribution manipulation. Engage in cookie stuffing, forced or automatic clicks, pixel stuffing, iframe or redirect tricks, click injection, or any other technique that sets or alters a referral cookie or Promotion Code attribution without the customer’s genuine, informed action.
• Self-referrals. Use your own Affiliate Link or Promotion Code to purchase Jepex for yourself, your business, or any account you control.
• Unauthorised incentives. Offer cash-back, rebates, rewards, or any other incentive of your own for clicking your Affiliate Link or subscribing through it, unless we have authorised the incentive in writing.
• False or misleading claims. Make any false, deceptive, exaggerated, or unsubstantiated statement about Jepex, its features, pricing, or results, or misrepresent your relationship with us.
• Coupon and deal-site abuse. Distribute or submit to coupon, deal, voucher, or cashback sites any discount or Promotion Code except those we have expressly authorised for that channel, or create, leak, or use unauthorised, expired, or fabricated codes.
• Improper placement. Promote Jepex on or through content that is unlawful, infringing, defamatory, sexually explicit, hateful, or that targets children.

Any breach of this section may result, at our sole discretion, in forfeiture of all affected and pending Commissions, reversal or clawback of Commissions already paid, suspension or termination of your participation, and any other remedy available at law, in addition to your indemnity obligations.

Disclosing your affiliate relationship

Whenever you promote or recommend Jepex, or share your Affiliate Link or Promotion Code, you must clearly and conspicuously disclose that you are a Jepex affiliate and may earn a commission. You are solely responsible for complying with all advertising-disclosure laws that apply to your audience, including:

• in the United States, the FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255), including the duty under §255.5 to disclose a material connection that your audience would not reasonably expect; and
• in the European Union, the Unfair Commercial Practices Directive 2005/29/EC (as amended by Directive (EU) 2019/2161), including the prohibitions on hidden advertising and on undisclosed paid editorial or search content, and the national laws implementing them — in Latvia, the Unfair Commercial Practices Prohibition Law, enforced by the Consumer Rights Protection Centre (PTAC).

Your disclosure must be:

• easy to notice and understand, placed close to the recommendation or link and before any “read more” break;
• in the same form and medium as the promotion — in a video, both on-screen and spoken; and
• not hidden in a bio, footer, hashtag cluster, hover text, or behind a separate link.

Labels such as “#ad”, “paid partnership”, “affiliate link”, or “I earn a commission if you buy through this link” are acceptable when displayed as described above. You may not represent that you are an employee or official representative of SIA Karto, and you will indemnify us for any claim arising from your failure to disclose.

Using the Jepex brand

For as long as you participate in the Program, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Jepex name, logo, and marketing materials we provide, solely to promote Jepex in accordance with these Affiliate Terms and any brand guidelines we give you.

You may not register or use any trademark, company name, domain name, social-media handle, or app name that contains or is confusingly similar to our trademarks, and you may not modify our logo or combine it with your own branding. Paid-keyword use of our marks is prohibited under “Prohibited promotional methods”. All goodwill arising from your use of our trademarks inures to SIA Karto.

We may ask you to correct or remove any promotional material that refers to Jepex — whether or not it uses our trademarks — and you will comply promptly. This licence ends when your participation ends, and you will stop using our brand promptly if we ask you to.

Confidentiality

You will keep confidential any non-public information you learn through the Program — for example individually offered commission terms, performance and conversion data, or unreleased features — and use it only to participate in the Program. This obligation does not cover information that is public through no fault of yours or that the law compels you to disclose (tell us first, where lawful), and it survives the end of these Affiliate Terms.

Your data

To run the Program, we and the Affiliate Platform process the personal data you provide when joining (such as your name, email address, and payout details) and the data the Program generates (clicks, referrals, and Commission records). Rewardful processes this data to provide the affiliate platform. Details of how we handle personal data and your rights are in our Privacy Policy.

You are independently responsible for your own marketing channels — including any consent, cookie, or direct-marketing obligations you have towards your audience under the GDPR, the ePrivacy rules, and equivalent laws.

Term, termination & commissions

These Affiliate Terms apply from the moment we accept your application until terminated. Either party may terminate at any time, without cause, with 30 days’ written notice (email is sufficient). We may also suspend or terminate your participation immediately if you materially breach these Affiliate Terms, manipulate attribution or commit fraud, or if sanctions or other legal requirements oblige us to.

After a no-fault termination by either party (including our discontinuing the Program): Commissions already earned remain payable under the normal holding and payout schedule, and Referrals already attributed to you keep earning Commissions for the remainder of their 12-month windows. Forfeiture of Commissions is reserved for breach and fraud: if we terminate for cause, Commissions affected by the breach are forfeited, and where the breach involves fraud or attribution manipulation, all pending Commissions are forfeited and our clawback rights in “Holding period, refunds & clawbacks” apply.

On termination you will stop presenting yourself as a Jepex affiliate, stop using our brand and marketing materials, and stop actively distributing your Affiliate Link.

Changes to the program or these terms

We may change the Program — including the commission rate and duration, the Cookie Window, the payout threshold, schedule, and providers, or the Affiliate Platform — and may update these Affiliate Terms, with at least 30 days’ written notice by email or through the affiliate portal.

Changes apply prospectively only. No change reduces Commissions already earned before its effective date, and a change to the commission rate or duration applies only to Referrals attributed on or after the effective date, unless the change is in your favour. If you do not accept a change, you may terminate before it takes effect; continuing to participate after the effective date means you accept it.

Disclaimers, liability & indemnity

The Program is provided “as is”. We do not guarantee any level of earnings, traffic, conversions, or attribution, nor uninterrupted availability of the Service or the Affiliate Platform. Tracking depends on third-party services and browser technology, as described in “Attribution & the cookie window”. We remain free to run our business as we see fit — to change prices and plans, to accept, refuse, or refund any sale, and to add or discontinue products — and Commissions arise only on payments actually charged, as described in “Commissions & qualifying sales”.

To the extent permitted by law, neither party is liable to the other for indirect or consequential losses or lost profits, and our total liability under these Affiliate Terms is limited to the total Commissions paid and payable to you in the 12 months before the claim. Nothing in these Affiliate Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, for gross negligence or wilful misconduct, or for any liability that cannot be excluded under applicable law.

You will indemnify and hold harmless SIA Karto against all claims, fines, damages, and costs (including reasonable legal fees) brought by third parties or authorities and arising from: your promotional content and methods; your breach of these Affiliate Terms; your failure to disclose your affiliate relationship as required by “Disclosing your affiliate relationship”; your violation of advertising, anti-spam, or data-protection law; or your failure to meet your tax obligations.

General provisions

• Assignment. You may not assign these Affiliate Terms or your Commissions without our prior written consent. We may assign them to a group company or a successor in a merger or sale.
• Entire agreement. These Affiliate Terms are the entire agreement about the Program. Your use of the Service itself remains governed by the Terms of Service.
• Severability. If a provision is found unenforceable, the rest remains in effect, and the provision is replaced by a valid one that comes closest to its intent.
• No waiver. Not enforcing a provision is not a waiver of it.
• Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
• Survival. Accrued payment obligations, and the sections on confidentiality, brand and intellectual property, liability and indemnity, and governing law, survive termination.
• Notices. We send notices to the email address in your affiliate-portal account; you send notices to legal@jepex.app.
• Language. These Affiliate Terms are concluded in English.

Governing law & disputes

These Affiliate Terms are governed by the laws of Latvia, excluding its conflict-of-law rules. Because you enter into them as a business, the courts of Latvia have exclusive jurisdiction over any dispute arising from them. We would like to resolve any dispute informally first — please email legal@jepex.app before taking other steps.
